In signing this letter the undersigned ("Client") hereby agrees to retain the law firm of Levi & Korsinsky, LLP (hereinafter, "Attorneys" or the "Firm") for the investigation of, and possibility of filing an individual and/or class action under the Worker Adjustment and Retraining Notification Act ("WARN Act") in connection with the termination of employees without proper notice by Zenefits ("Zenefits" or the "Company") and/or any related entity. In the event that Client and Attorneys agree to pursue litigation:

1. Attorneys agree to advance all expenses and disbursements in the litigation, and unless ordered by the Court otherwise, Client shall not in any event be liable to pay.

2. Attorneys may employ and/or work with other law firms to prosecute the litigation.

3. If not representing Client individually, Attorneys shall, in the action to be filed by the Firm on behalf of Client and all other similarly situated employees, seek certification of the class of which Client is a member. The Firm will employ its best efforts in seeking class certification and appointment as class counsel, as well as in prosecuting the action on behalf of the class in the event that the class is certified.
