Diebold Nixdorf, Incorporated shares opened down approximately $6.20 per share, or about 9.3% on October 28, 2026, after the Company reported its third-quarter financial results and reduced its full-year 2026 financial outlook. Although third-quarter revenue exceeded consensus estimates and adjusted EBITDA grew, management narrowed its revenue outlook downward and lowered its full year earnings. Specifically, adjusted EBITDA was reduced from $510 million-$535 million to $490 million-$510 million, free cash flow was lowered from $255 million-$270 million to $190 million-$210 million, and adjusted EPS was lowered from $5.25-$5.75 to $4.50-$4.85. The Company's previous revenue range had its high-end reduced from $3.94 billion to $3.90 billion. Management attributed the revisions to a change in revenue mix and cost pressures in raw materials, specifically higher memory and component costs alongside increased shipments of lower-margin retail and point-of-sale products. These cuts contrasted with earlier statements. On July 29, 2026, Chief Financial Officer Thomas Timko highlighted the company was "reaffirming" its guidance, while Chief Executive Officer Octavio Marquez stated that the Company remained "on track to deliver on our full year outlook." The investigation concerns whether Diebold Nixdorf, Incorporated adequately disclosed raw material cost pressures and shifts toward lower-margin product mixes ahead of its guidance reduction on October 28, 2026.
