Enova International, Inc. Investigation Details

Enova International, Inc. shares fell sharply after the Company reported on aftermarket on September 14, 2026, that it had withdrawn its OCC and Federal Reserve applications tied to the proposed $369 million acquisition of Grasshopper Bancorp. CEO Steven Cunningham attributed the decision to withdraw the applications to unclear regulatory standards for nonbanks seeking bank status and stated the process was vulnerable to political pressure. Previously, on July 23, 2026, during the Q2 2026 earnings call, CEO Steven Cunningham stated, "I have a lot of confidence in our application. I have a lot of confidence in the process, and I look forward to closing later this year." Additionally, in the Q2 Form 10-Q filed on July 23, 2026, the Company described the transaction as a "pending acquisition" and reiterated throughout the year that it remained in "constructive dialogue" with regulators. The investigation concerns whether Enova International, Inc. adequately disclosed the regulatory risks and potential obstacles associated with its proposed acquisition of Grasshopper Bancorp ahead of the application withdrawal on September 14, 2026.
