Twilio Inc Investigation Details

Twilio Inc. shares fell more than 17% after the Company reported 16% organic revenue growth in Q3 but guided to slower organic growth of 11%-12% in Q4. Although Twilio Inc. beat Q3 revenue and adjusted-earnings estimates, raised full-year revenue guidance, and issued Q4 revenue and adjusted EPS guidance above analyst expectations, investors reacted to the expected growth deceleration. Management noted slowing growth in the Company's largest business, Communications, where revenue had reached $1.153 billion, up 14% year-over-year in Q2 2025. Previously, during the Q4 2025 earnings call on February 12, 2026, Chief Executive Officer Khozema Shipchandler stated, "Reflecting on 2025, Twilio stood out with accelerating revenue growth, expanding operating margins and by delivering significant growth in free cash flow." Furthermore, on the May 1, 2025 earnings call, Chief Financial Officer Aidan Viggiano stated, "No, we're not seeing a slowdown, Mark." Relevant filings include Form 10-K filed February 24, 2026, Form 8-K filed April 30, 2026, and a Form 144 filed May 12, 2026 regarding a 675,000-share disposition valued at $130,637,745 by director-affiliated Sachem Head. The investigation concerns whether Twilio Inc. adequately disclosed the risk of organic revenue growth deceleration in its primary business ahead of its Q4 guidance update.
