Xerox Holdings Corporation Investigation Details
Xerox Holdings Corporation shareholders lost money on October 29, 2026, when the stock fell sharply after the Company released Q3 2026 financial results that cut full-year profitability and cash-flow targets, suspended dividends, and reported a noncash goodwill impairment. The Company lowered its full-year 2026 adjusted operating income guidance to $450-$475 million from $555-$605 million and reduced its free cash flow outlook to $50-$100 million from approximately $250 million. Management attributed the cut to higher memory, oil, and input costs generating roughly a $60 million headwind, along with a product mix shift, weaker print-market demand, and IT Solutions underperformance. These revisions followed earlier statements, including on the April 30, 2026 earnings call where Chief Financial Officer Chuck Butler stated, "We expect free cash flow of approximately $250 million," and the July 30, 2026 earnings call where Butler raised adjusted operating income guidance to $555 million to $605 million. Additionally, in a Form 10-Q filed on August 6, 2026, the Company disclosed Lexmark purchase accounting corrections that reduced accounts receivable by $81 million and noted a $105 million reduction to cost of sales from tariff receivables. The investigation concerns whether Xerox Holdings Corporation adequately disclosed rising input costs, product mix pressures, and cash flow constraints ahead of the October 29, 2026 guidance reductions.
