The filed complaint alleges that Eagle Bancorp, Inc. made materially false and/or misleading statements and/or failed to disclose that: Eagle issued a press release on April 23, 2025, reporting its financial results for the first quarter of 2025. Among other items, Eagle reported net income of $1.7 million, or $0.06 per diluted share, compared to $15.3 million, or $0.50 per diluted share for the previous quarter. Eagle said that “[t]he $13.6 million decrease in net income from the prior quarter is primarily due to a $14.1 million increase in provision expense, a $5.1 million decline in net interest income, and a $0.9 million increase in noninterest expenses.” Eagle further stated that “[v]aluation risk in our office portfolio remains a concern and was the primary driver of the provision for credit losses.” Following this news, Eagle’s stock price fell over 11% on April 24, 2025.
