The complaint alleges these statements were materially false and misleading because defendants failed to disclose that the company had overstated the ability of its AI business to mitigate the rapid declines in its legacy online marketing business, that as a result the company's revenue was reasonably likely to decline, and that defendants' positive statements about the business lacked a reasonable basis. The lawsuit points to Baidu's FY25 Form 20-F, filed March 17, 2026, which stated the company was not aware of any trends or events reasonably likely to have a material adverse effect on total revenue, an assurance the complaint alleges was misleading given the deterioration underway.
The lawsuit claims the Individual Defendants, by virtue of their senior positions and access to internal reports and data, knew or recklessly disregarded that these representations were false when made, and had the ability to prevent or correct the statements issued to the investing public.
The truth began to partially emerge on February 26, 2026, before the market opened, when Baidu reported fourth quarter and full year 2025 results. According to the complaint, total revenue fell more than 4% year over year for the fourth quarter to RMB32.74 billion (or $4.68 billion) and more than 3% year over year for the full year to RMB129.079 billion (or $18.458 billion). The lawsuit notes that although management continued to emphasize AI-powered growth, the reported figures revealed the pressure on total revenue that the prior optimistic messaging had downplayed.
The full extent of the alleged problem, the complaint claims, became clear on August 18, 2026, when Baidu reported second quarter 2026 results before the market opened. Baidu General Business revenue fell 4% year over year to RMB25.2 billion (or $3.71 billion), with Legacy Business revenue falling 23% year over year to RMB10.4 billion and total Online Marketing Services revenue falling 19% year over year to RMB13.1 billion. Critically, according to the complaint, the Baidu Core AI-powered business itself fell 8% quarter over quarter to RMB12.5 billion (or $1.86 billion), with year-over-year growth decelerating from 49% in the first quarter of 2026 to 25%, and its largest component, AI Cloud Infra, falling 17% quarter over quarter from RMB8.8 billion to RMB7.3 billion.
These disclosures, the lawsuit alleges, undermined the company's prior assurances that AI growth was meaningfully mitigating the legacy decline, showing that the AI-powered business had fallen 8% quarter over quarter even as legacy revenue continued to fall.
The complaint alleges Baidu's stock reacted sharply to each disclosure. On February 26, 2026, following the fourth quarter and full year 2025 results, the price of Baidu ADS fell $7.50 per share, or 5.65%, to close at $125.15 per share on unusually heavy trading volume.
