Introduction

A securities class action has been filed against Compass, Inc. (NYSE: COMP). The case was brought on behalf of former Anywhere Real Estate shareholders. These shareholders acquired Compass stock in a January 2026 merger.

The complaint alleges the offering materials for that merger were materially false and misleading. It claims the materials hid that Compass hired a Trump-aligned lawyer to reach senior DOJ officials. The lawsuit says this effort was meant to bypass normal antitrust review. In truth, the complaint alleges, Compass was not complying with applicable laws as it represented.

As the alleged truth came out, the price of Compass shares fell sharply. At the start of the action, COMP closed at $9.19 per share. That was a decline of over 28% from the roughly $12.84 price on the merger exchange date. The complaint alleges former Anywhere shareholders suffered substantial losses.

Company Profile

Compass, Inc. is a New York based real estate services company that includes the largest residential real estate brokerage in the United States by sales volume. The company offers services to seller and buyer clients in 38 states and Washington, D.C., with approximately 37,700 real estate agents, and its network includes the Christie's International Real Estate brand with over 100 independently owned brokerages across more than 50 countries and territories. In January 2026, Compass acquired Anywhere Real Estate Inc., a residential real estate services company headquartered in Madison, New Jersey, whose brands included Better Homes and Gardens Real Estate, CENTURY 21, Coldwell Banker, Corcoran, ERA, and Sotheby's International Realty.

Class Period

This class action lawsuit concerns Compass, Inc.'s January 2026 stock-for-stock acquisition of Anywhere Real Estate Inc. Investors who acquired Compass (COMP) common stock in direct exchange for Anywhere securities pursuant to the registration statement in connection with the merger exchange, completed on or around January 9, 2026, may be eligible to seek recovery under the federal securities laws.

Allegations

The complaint asserts non-fraud, strict liability claims under Sections 11, 12(a)(2), and 15 of the Securities Act of 1933 on behalf of former Anywhere shareholders who received Compass common stock in the January 2026 merger. On November 14, 2025, defendants filed a registration statement on Form S-4 to register the new Compass shares; the SEC declared it effective on December 2, 2025, the same day defendants filed the Form 424B3 prospectus. The lawsuit names Compass along with current and former officers and directors of both Compass and Anywhere, each of whom signed, or is deemed to have signed, the registration statement or solicited former Anywhere shareholders to participate in the merger.

According to the complaint, the offering materials represented that Compass and Anywhere would "use their respective reasonable best efforts to obtain [] authorizations and consents" from regulatory authorities and to take "all things necessary, proper or advisable under applicable law (including any antitrust laws)" to consummate the merger. The materials further represented that Compass would "use reasonable best efforts to take actions necessary to ensure the expiration or termination of the waiting period under the HSR Act" and attested to Compass's "compliance with applicable laws, the absence of governmental investigations and the possession of and compliance with licenses and permits necessary for the conduct of business." The materials also stated the parties expected the merger to close during the second half of 2026.

The complaint alleges these statements were materially false and misleading because defendants secretly hired Mike Davis, a lobbyist, lawyer, and ally of President Donald Trump, to obtain access to high-level Trump Administration DOJ officials and circumvent the standard merger review process. Rather than responding to the Antitrust Division through ordinary channels, the lawsuit claims, Compass worked to force through the merger and prevent a Second Request under the Hart-Scott-Rodino Act from issuing at all. The merger closed on January 9, 2026, just days after the HSR waiting period expired and nearly six months ahead of the "second half of 2026" timeline the offering materials repeatedly represented.

The complaint further alleges defendants violated affirmative disclosure duties. Item 303 of SEC Regulation S-K required disclosure of known events or uncertainties reasonably likely to adversely affect Compass's financial condition, and Item 105 required an adequate description of the most significant risk factors. The filing states the offering materials failed to disclose the risks and likely negative impact of defendants' effort to backchannel senior DOJ officials and sidestep the Second Request, including the substantial likelihood of future enforcement action. As a result, the complaint alleges, the materials' references to risks that "may" or "could" affect the company were misleading because those risks were already beginning to materialize.

The Truth Emerges

The complaint alleges the truth surfaced through a series of partial disclosures after the merger closed. On January 9, 2026, the Wall Street Journal reported that the head of the DOJ's antitrust division, Gail Slater, wanted to launch an extended review of the merger to weigh whether it was anticompetitive, but that Compass avoided the Second Request by hiring "Trump-aligned lawyer Mike Davis" and appealing above Slater to the office of Deputy Attorney General Todd Blanche. The same report noted that under 2023 government guidelines, mergers giving a company control over more than 30% of a market are presumed illegal, and that the combined company's market share would exceed 30% in metro areas including Chicago, New York, and San Francisco. A DOJ spokesperson reportedly stated that nothing precluded the department from taking an enforcement action in the future if anticompetitive effects were found.

The disclosures continued as scrutiny intensified. On February 19, 2026, Senators Elizabeth Warren and Bernard Sanders, along with sixteen other members of Congress, sent a letter to then-Attorney General Pamela Bondi requesting information about the DOJ's review and criticizing the "deeply disturbing" fact pattern reported in the Compass-Anywhere deal regarding paid-for access to high-level Trump Administration DOJ officials. The complaint alleges the letter raised serious questions about whether the merger review process had been corrupted and whether well-resourced parties had an uneven ability to obtain high-level access outside normal channels.

Most recently, in June 2026, the New York State Attorney General confirmed the existence of an antitrust investigation into Compass concerning the merger. A June 3, 2026 Seeking Alpha article reported that the New York Attorney General's office was investigating Compass over antitrust concerns and had approached leaders at some of New York City's top brokerages for information, and a June 4, 2026 Law360 article confirmed the investigation. The complaint alleges these revelations contradicted defendants' earlier attestations of reasonable best efforts and compliance with applicable laws.

Market Reaction

According to the complaint, the price of Compass shares declined as the existence and consequences of defendants' alleged plan to evade further DOJ merger review gradually emerged. Following the report that Senator Warren questioned the DOJ's review, COMP shares fell 12.94%, trading down to $9.08 per share on February 23, 2026. After the New York Attorney General's Office confirmed its antitrust investigation, Compass shares fell another 3.8% on June 4, 2026. At the commencement of the action, Compass shares closed at $9.19 per share, a decline of over 28% from the approximately $12.84 share price on the merger exchange date. The complaint alleges former Anywhere shareholders who received Compass stock suffered severe losses as a result.
