Allegations

The Innventure shareholder lawsuit centers on Accelsius, the company's subsidiary focused on NeuCool liquid cooling technology for AI data centers and high-performance computing environments. According to the complaint, Innventure began the class period by announcing that DarkNX would deploy Accelsius' NeuCool technology across a new 300MW AI data center campus in Ontario, Canada, describing the project as expected to be the largest two-phase, direct-to-chip deployment to date.

On November 17, 2025, Innventure's press release stated that the first phase of the DarkNX project would include two 65MW facilities, with deployments scheduled for 2026 and 2027. The release quoted Accelsius Chief Executive Officer Josh Claman as saying DarkNX's 300MW commitment signaled a shift toward large-scale adoption of two-phase, direct-to-chip cooling.

Innventure continued to emphasize the alleged DarkNX agreement in 2026. On March 4, 2026, the company stated Accelsius was expected to be cash flow positive by year-end 2026, supported in part by the DarkNX agreement. On March 30, 2026, Innventure issued year-end results and an investor presentation that allegedly touted more than $50 million in Q1 2026 bookings, Accelsius' projected cash flow positivity by year-end 2026, and that the DarkNX Agreement was proceeding as expected with initial deliveries expected in 2026. The company's FY25 Form 10-K also discussed Accelsius' agreements, bookings, deployment process, manufacturing capacity, and risk factors relating to conversion of bookings into revenue.

The complaint alleges these statements were materially false and misleading because defendants failed to disclose that Accelsius' alleged transformative deal with DarkNX was unlikely to come to fruition. The complaint alleges there was no evidence DarkNX was constructing or facilitating a large-scale AI data center, which made Innventure's stated revenue and cash flow targets for Accelsius in 2026 overstated. The lawsuit further claims defendants' positive statements about Innventure's business, operations, and prospects lacked a reasonable basis.

The Truth Emerges

The truth allegedly began to emerge before the market opened on May 28, 2026, when Morpheus Research published a report titled "Innventure: The Latest Iteration Of A Decades-Long Grift Propped Up By A Fake 300MW Data Center Deal." The report alleged that Innventure's DarkNX venture to build an AI data center campus in Ontario was a fabrication and stated there was "zero evidence this project exists or that DarkNX has the team or funding to even contemplate such a project."

Morpheus Research also reported that, according to a former Innventure executive, management used "false information" and revenue projections that were "pure fiction" to solicit investments into Accelsius. The report quoted former Accelsius employees who questioned whether DarkNX had customers, a data center, or the ability to support the announced project.

After the market closed on August 13, 2026, Innventure reported second quarter 2026 results and suspended its previously communicated expectations for Accelsius' 2026 revenue and cash flow targets. In a Form 10-Q filed the same day, the company disclosed that the deployment site identified in the DarkNX purchase order was no longer available and that Accelsius had removed the DarkNX project from its internal bookings pending identification of an alternative deployment location and satisfaction of other conditions.

Market Reaction

Following the May 28, 2026 Morpheus Research report, Innventure's stock price fell $0.54 per share, or 8.42%, to close at $5.87 per share on unusually heavy trading volume. The complaint alleges this decline reflected the market's reaction to allegations that the DarkNX project lacked evidence of existence, funding, and operational support.

The larger decline came after Innventure's August 13, 2026 disclosures. On August 14, 2026, INV fell $1.98 per share, or 55%, to close at $1.62 per share on unusually heavy trading volume after the company suspended Accelsius' 2026 revenue and cash flow targets and disclosed that the DarkNX deployment site was no longer available.
