A securities class action has been filed against Wix.com Ltd. in the Northern District of Illinois. The lawsuit seeks to represent investors who purchased or acquired Wix securities from February 19, 2025 through May 12, 2026.
The complaint alleges defendants made materially false and misleading statements about Wix's AI products and growth prospects. It claims Wix overstated its AI competitiveness while hiding rising costs and product weaknesses.
Investors allegedly suffered losses as the market learned more about competition, Base44 costs, and Wix Harmony limits. WIX fell sharply after multiple disclosures, including a 27.1% drop on May 13, 2026.
Wix.com Ltd. operates a cloud-based web development platform that allows users to create, customize, and manage professional websites. During the class period, the company promoted AI-powered offerings, including AI Website Builder, Wixel, Base44, and Wix Harmony, as central to its competitive position.

The complaint alleges that Wix and senior executives repeatedly told investors that the company was a leader in AI-powered web development. Defendants described Wix's AI tools, product roadmap, Studio platform, Wixel, Base44, and Wix Harmony as growth engines that would strengthen bookings, revenue, margins, and long-term market position.
On February 19, 2025, Wix issued a press release announcing Q4 and FY 2024 results. Defendant Avishai Abrahami touted the company's "revolutionary AI solutions," including its new generation AI Website Builder, and said 2025 products would "deliver immense value" and accelerate Self Creator growth. Defendant Lior Shemesh said AI usage, innovation, Studio market-share gains, internal AI initiatives, and a stable operating base would support growth and margin expansion. The same day, Wix published a shareholder update in which Abrahami said the company had strengthened its position as the "go-to web creation platform" and benefited from early AI product tailwinds.
The complaint also challenges Wix's March 21, 2025 Form 20-F, which stated that the company offered an "industry-leading suite of AI-powered web creation tools" and competed favorably because of its technology, product integration, user base, and marketing expertise. Abrahami and Shemesh signed Sarbanes-Oxley Act certifications stating that the filing did not contain untrue statements of material fact or omit material facts necessary to make the statements not misleading.
After the first alleged disclosure in May 2025, plaintiffs allege defendants continued to mislead investors. Wix publicly promoted Wixel as unique and business-focused, described Base44 as a powerful addition to its AI portfolio, and later claimed Base44 would become a meaningful long-term growth driver with margins similar to the core business. The complaint alleges these statements failed to disclose that Wix had overstated the competitiveness and performance of its AI products, understated the costs of developing and promoting them, and therefore overstated their commercial and financial benefits.
The alleged truth began to emerge on May 21, 2025, when Wix reported Q1 2025 results. Although bookings increased 12% year over year, the company maintained FY 2025 revenue guidance of $1.97 billion to $2 billion and gave Q2 2025 revenue guidance below consensus estimates. Analysts cited concerns about competition, new product traction, and conservative guidance.
Further disclosures followed on November 19, 2025, when Wix reported Q3 2025 results and disclosed that post-acquisition costs tied to Base44 were materially affecting financial results. On the earnings call, Shemesh explained that Base44 users were creating a short-term free cash flow headwind and that AI processing, compute costs, branding, acquisition marketing, and related research and development expenses were weighing on results.
In 2026, analyst downgrades added to the alleged corrective-disclosure sequence. JPMorgan, UBS, and Citizens cited concerns including core business revenue deceleration, slower and more volatile margin improvement, Base44 investment requirements, competition in vibe coding, and AI-driven risks to Wix's historical product advantage. Then, on May 13, 2026, Wix reported Q1 2026 earnings and revenue below consensus expectations, and defendants acknowledged that professional developer customers were using competing AI tools, Wix Harmony had "holes" and "missing capabilities," product updates had been delayed, and Wix had fallen behind the workflow and needs of professional developers.
WIX fell $29.40 per share, or 16.18%, to close at $152.34 per share on May 21, 2025, after the Q1 2025 disclosure. The stock fell again on November 19, 2025, dropping $25.22 per share, or 19.87%, to close at $101.70 per share after Wix disclosed Base44-related cost pressure. According to the complaint, subsequent analyst downgrades were followed by additional declines: $2.37 per share, or 2.65%, on March 27, 2026; $8.55 per share, or 9.45%, on April 2, 2026; and $3.26 per share, or 3.87%, on April 7, 2026.
The largest alleged corrective move occurred on May 13, 2026. After Wix reported Q1 2026 results and acknowledged problems in its professional developer business and Wix Harmony platform, WIX fell $20.56 per share, or 27.1%, to close at $55.32 per share.
