CFO Gupta touted margin expansion in a promotional environment, and on a May 2026 earnings call CEO Hobart stated that promotional activity was not a major factor and that the company saw nothing on the horizon it was particularly concerned about.
The complaint alleges these statements were materially false and misleading because defendants failed to disclose that the Foot Locker inventory cleanup was not complete, that Foot Locker remained saddled with unproductive legacy footwear vulnerable to intensifying promotional pressures, and that DICK'S was therefore unable to achieve the sales growth, margins, and profits it had touted to investors. The complaint alleges defendants knew or recklessly disregarded that their positive representations lacked a reasonable basis.
According to the complaint, the alleged corrective disclosure occurred before markets opened on August 25, 2026, when DICK'S issued a press release announcing its second-quarter 2026 financial results. The company reported adjusted earnings per share of $3.53, short of analysts' estimates of $3.76, and disclosed that Foot Locker generated revenue of only $1.73 billion, significantly below analysts' expectations of $1.81 billion. Baird analysts substantially lowered their price target, said the disclosures had lowered their conviction materially, and described the guidance reduction as a surprise given management's bullish tone relatively recently. Barclays analysts also lowered their estimates and price target, describing the market reaction as a significant reset of investor expectations for the athletic footwear ecosystem.
