Introduction

On March 9, 2026, UWM issued a press release in advance of a Two Harbors stockholder meeting and stated that, "Even without the Two Harbors transaction," it expected first quarter 2026 revenue between $800 million and $900 million and fiscal year 2026 revenue between $3.5 billion and $4.5 billion. Mathew Ishbia also stated that UWM's "core business fundamentals remain very strong" and that the company remained confident in its ability to handle increased volume through technology and AI investments.

On May 6, 2026, UWM reported first quarter 2026 results and described the period as an "exceptional quarter." Ishbia stated that UWM was "built to perform through all cycles" and was moving ahead of schedule with bringing servicing in-house. On May 11, 2026, UWM filed its Form 10-Q for the quarter ended March 31, 2026, which discussed derivative instruments and stated that the company "occasionally" entered into other interest rate derivatives as part of its overall interest rate mitigation strategy for MSRs.

The complaint alleges these statements were materially false and misleading because defendants failed to disclose that UWM had deviated from its traditional strategy of not hedging mortgage servicing rights and had taken a major hedge position. Plaintiffs allege UWM over-hedged in anticipation of the Two Harbors transaction, that its purported risk-balancing efforts created excess hedging risk, and that defendants' positive statements about the company's business, operations, and prospects lacked a reasonable basis.

The Truth Emerges

After the market closed on August 5, 2026, UWM reported second quarter 2026 financial results. The company disclosed a $603.2 million interest rate derivatives loss, which contributed to a $451.9 million second quarter net loss, while total equity fell 43.6% year over year.

The following morning, during UWM's August 6, 2026 earnings call, Chief Executive Officer Mathew Ishbia addressed the derivative loss. He stated, "We were over-hedged, if you think of it that way, protecting against the Two Harbors transaction," and explained that UWM did not traditionally hedge its mortgage servicing rights.

According to the complaint, Ishbia's remarks revealed that UWM had placed a hedge to protect against risks created by acquiring Two Harbors and its large MSR book. When the Two Harbors transaction went away and the market moved against UWM, the hedge produced a loss that plaintiffs allege contradicted the company's earlier statements about risk management and business resilience.

Market Reaction

Following the August 5, 2026 financial results and the August 6, 2026 earnings call, UWM Holdings Corporation shares fell sharply. UWMC declined $0.64 per share, or 34.78%, to close at $1.20 per share on August 6, 2026, on unusually heavy trading volume.

The complaint also alleges that UWMC closed at a Class Period high of $4.04 per share on March 10, 2026.
