The Registration Statement disclosed that Wise's business was subject to extensive regulation, including payment services, money transmission, anti-money laundering, counter-terrorist financing, fraud detection, consumer protection, and related licensing requirements.

Plaintiffs allege those risk disclosures were materially false and misleading because they presented regulatory problems as general or hypothetical risks. According to the complaint, Wise was already under active investigation by Belgian authorities, and the company faced longstanding, material, and pervasive concerns about AML and counter-terrorism financing processes that threatened its U.S. national bank charter application.

The lawsuit further alleges defendants knew or recklessly disregarded these facts. Plaintiffs claim Wise materially understated regulatory risk to support a successful Nasdaq debut and that statements about the company's business, operations, and prospects lacked a reasonable basis at all relevant times.

The Truth Emerges

Reuters reported on June 1, 2026 that Wise's London-listed shares fell after news that the Brussels Public Prosecutor's Office was investigating Wise's European entity in cases reportedly involving more than half a billion euros, or $582.5 million, in suspicious transactions. The article said the investigation began the prior year and concerned potential money-laundering offenses with alleged links to fraud, corruption, and drug trafficking.

That same day, Wise filed a Form 6-K stating that it was working with the Brussels prosecutor to respond to queries. Wise said no specific findings had been shared with it, described law enforcement requests and suspicious activity reports as normal for financial institutions, and said those matters were not in themselves indicative of non-compliance or wrongdoing.

The Wall Street Journal later reported on July 24, 2026 that the Office of the Comptroller of the Currency denied Wise's application for a national trust bank license. The article said the OCC cited significant supervisory and compliance concerns, including longstanding deficiencies in anti-money laundering and countering the financing of terrorism at Wise U.S.

Following the June 1, 2026 Reuters report and Wise's response, Wise's U.S.-listed shares fell $0.67 per share, or 5.24%, to close at $12.10 on June 1, 2026.
