Settlement Class

All persons or entities that purchased a. Section 14(a) Class: all beneficial holders of Centricus Class A ordinary shares and Centricus units as of the July 26, 2021 record date for the special meeting of shareholders held on August 31, 2021 to consider approval of the Merger, which resulted in the public listing of Arqit’s ordinary shares and warrants on the NASDAQ Global Markets exchange (“NASDAQ”) on September 7, 2021;b. “Section 10(b) Class”: all persons or entities who purchased or otherwise acquired Arqit Securities in connection with the Merger or on a U.S. stock exchange between September 7, 2021 and December 13, 2022, inclusive (the Class Period); or, c. “Securities Act Class”: all persons or entities who purchased or otherwise acquired Arqit Securities pursuant or traceable to the effective Offering Materials filed with the SEC for the September 2, 2021 Offering of Arqit Securities in connection with the Merger.
